TERMS OF SERVICE

Last Updated: September 17, 2026

These Terms of Service (“Terms”) govern your access to and use of the website, services, campaigns, and other offerings provided by BLOOM Creative LLC (“BLOOM,” “we,” “us,” or “our”).

By purchasing, engaging, accessing, or using any BLOOM service, submitting payment, or otherwise agreeing to work with BLOOM, you (“Client,” “you,” or “your”) agree to these Terms.

If you do not agree to these Terms, you should not purchase or use our services.

1. ABOUT BLOOM

BLOOM Creative LLC is a music marketing and creative services company providing services that may include:

  • Music marketing and promotional campaigns
  • Digital advertising and campaign management
  • Playlist promotion and music discovery campaigns
  • Public relations and press outreach
  • Artist development and strategy
  • Release strategy
  • Branding and creative consultation
  • Social media marketing
  • Content strategy
  • Audience development
  • Digital marketing
  • Campaign consulting
  • Other music-industry marketing and promotional services

The specific services provided to a Client will be determined by the package, proposal, invoice, written agreement, or other scope of work agreed upon between BLOOM and the Client.

2. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase BLOOM services.

If you purchase services on behalf of an artist, band, company, record label, management company, or other organization, you represent that you have authority to enter into this agreement on its behalf.

3. CAMPAIGN APPROVAL & ACCEPTANCE

Payment does not necessarily guarantee that a particular song, release, artist, advertisement, or campaign will be accepted for every promotional opportunity.

BLOOM may review submitted material before or after payment.

We reserve the right to reject or discontinue work involving content that we reasonably believe:

  • Violates applicable law;
  • Infringes intellectual property or other third-party rights;
  • Violates applicable platform policies;
  • Contains fraudulent or misleading information;
  • Creates unreasonable legal, reputational, or operational risk; or
  • Cannot reasonably be promoted through the service purchased.

If BLOOM declines a campaign before material services have begun, BLOOM will work with the Client to determine an appropriate replacement service, campaign credit, or refund where applicable.

4. CLIENT RESPONSIBILITIES

Clients are responsible for providing BLOOM with accurate and timely campaign materials and information, including where applicable:

  • Final music files
  • Streaming links
  • Release dates
  • Artist information
  • Artwork
  • Social media accounts or assets
  • Advertising materials
  • Appropriate account access
  • Press materials
  • Campaign objectives
  • Required approvals

Delays in providing these materials may result in campaign delays.

The Client represents and warrants that they have all necessary rights, licenses, permissions, and authority to provide BLOOM with any music, artwork, photographs, videos, trademarks, logos, recordings, compositions, and other materials submitted for use in a campaign.

5. CAMPAIGN SCHEDULING

BLOOM campaigns require planning, coordination, and availability.

Campaign start dates and timelines may depend on the service purchased, current campaign queue, third-party availability, platform review processes, editorial timelines, curator availability, advertising approvals, and the Client's timely delivery of materials.

Any estimated launch date, completion date, or campaign duration is an estimate unless BLOOM expressly agrees otherwise in writing.

Clients should provide campaign materials sufficiently in advance of their intended release or campaign date.

6. PLAYLIST & STREAMING PROMOTION

Where purchased, BLOOM may facilitate legitimate music promotion and discovery efforts involving independently operated playlists, curators, marketing channels, advertising, or other promotional resources.

BLOOM does not sell artificial streams, bots, fake listeners, hacked accounts, or other intentionally fraudulent engagement.

BLOOM does not control Spotify, Apple Music, YouTube, Amazon Music, SoundCloud, or other third-party streaming platforms.

Playlist availability, positioning, audience behavior, listening patterns, and platform algorithms may change during or after a campaign.

Unless expressly stated otherwise in a written agreement, any stream figures, reach figures, audience projections, or campaign targets communicated before a campaign are campaign objectives or estimates rather than guarantees of a particular commercial outcome.

Nothing in these Terms guarantees:

  • A particular chart position;
  • A specific number of followers or fans;
  • Editorial playlist placement;
  • Record-label interest;
  • A record deal;
  • Increased royalties;
  • Virality;
  • Press coverage;
  • Social-media growth; or
  • Any particular commercial or career result.

7. PLATFORM COMPLIANCE

BLOOM intends to conduct its services in accordance with applicable laws and relevant third-party platform requirements.

Clients may not knowingly ask BLOOM to engage in conduct designed to manipulate streaming metrics, generate fraudulent engagement, circumvent platform systems, or otherwise violate applicable platform rules.

BLOOM reserves the right to refuse or terminate any campaign that we reasonably believe would violate applicable law or platform policies.

Third-party platforms maintain independent authority over their services. BLOOM cannot control decisions made by Spotify, Meta, Google, TikTok, Apple, YouTube, or other platforms.

8. DIGITAL ADVERTISING

For campaigns involving Meta, Instagram, Facebook, TikTok, Google, YouTube, or other advertising platforms, campaign performance may be affected by factors outside BLOOM's control.

These may include:

  • Platform algorithms
  • Audience competition
  • Advertising costs
  • Creative performance
  • Account history
  • Platform review
  • Tracking limitations
  • Market conditions
  • Audience behavior
  • Changes to platform policies

BLOOM does not guarantee a specific cost per click, conversion rate, follower count, stream count, return on advertising spend, or other advertising result unless expressly agreed to in writing.

Advertising spend may be separate from BLOOM's management or service fees unless otherwise stated.

9. PUBLIC RELATIONS & PRESS

PR services may include strategy, pitching, outreach, writing, distribution, and communication with publications, journalists, editors, creators, or other media contacts.

Unless a specific placement has been expressly sold and confirmed as part of a service, BLOOM cannot guarantee that an independent publication, journalist, editor, or media outlet will cover a Client.

Independent publications and platforms maintain control over their editorial decisions, publication schedules, edits, headlines, and availability.

10. FEES & PAYMENT

Prices for BLOOM services may be provided through our website, invoices, proposals, direct communications, or customized agreements.

Unless otherwise stated:

  • Payment is due before campaign work begins.
  • All prices are in U.S. dollars.
  • Clients are responsible for applicable taxes or transaction fees where required.
  • Advertising budgets and other third-party expenses may be charged separately.
  • BLOOM is not required to begin work until required payment has been received.

Customized packages may be subject to additional payment terms communicated before purchase.

11. REFUNDS, CANCELLATIONS & CAMPAIGN CREDITS

Because BLOOM's services involve advance scheduling, campaign preparation, strategy, creative work, third-party coordination, and allocation of promotional resources, payments generally become non-refundable once substantive work on a campaign has begun.

If a Client requests cancellation before substantive work begins, BLOOM may, depending on the circumstances, provide a refund, partial refund, or campaign credit.

Once campaign preparation, placement coordination, advertising setup, outreach, creative work, strategy, or other substantive services have begun, amounts attributable to work already performed or resources already committed are non-refundable.

If BLOOM cannot provide a material portion of a purchased service, BLOOM may, as appropriate, provide:

  • A comparable replacement service;
  • Additional campaign activity;
  • Account credit; or
  • A partial or full refund for the portion of the service that was not delivered.

Refund decisions will be made in accordance with these Terms, any applicable written agreement, and applicable law.

12. CHARGEBACKS & PAYMENT DISPUTES

Clients should contact BLOOM at tim@bloommusic.io regarding billing disputes before initiating a payment dispute or chargeback so that we have an opportunity to investigate and resolve the issue.

Initiating a chargeback does not automatically terminate the Client's payment obligations for services properly provided.

BLOOM reserves the right to provide payment processors with contracts, communications, invoices, campaign records, performance documentation, and other relevant evidence when responding to payment disputes.

Nothing in this section limits rights that cannot legally be waived.

13. RESULTS & PERFORMANCE

Music marketing involves numerous variables outside BLOOM's control.

Past campaign performance, testimonials, case studies, streaming results, advertising results, or client successes do not guarantee future results.

BLOOM may provide projections, targets, forecasts, strategic opinions, or estimated outcomes based on available information. Except where expressly stated in a written agreement, these should not be interpreted as guarantees.

The Client remains responsible for business, creative, financial, and career decisions made based on information provided by BLOOM.

14. THIRD-PARTY SERVICES

BLOOM may use or interact with third-party platforms and providers in connection with our services.

These may include streaming platforms, social networks, advertising platforms, publications, playlist curators, software providers, payment processors, analytics providers, and other independent businesses.

BLOOM does not own or control these third parties and is not responsible for outages, algorithm changes, account actions, policy changes, technical failures, editorial decisions, or other actions taken independently by them.

15. INTELLECTUAL PROPERTY

BLOOM retains ownership of its pre-existing intellectual property, proprietary processes, systems, methodologies, strategies, templates, campaign structures, internal documents, and other materials developed independently of a Client engagement.

Clients retain ownership of their music, recordings, compositions, artwork, trademarks, logos, and other pre-existing intellectual property.

Unless otherwise agreed in writing, the Client grants BLOOM a limited, non-exclusive license to use submitted materials as reasonably necessary to perform the purchased services.

16. PORTFOLIO & CAMPAIGN RESULTS

To the extent permitted by applicable law and any separate confidentiality agreement, BLOOM may identify publicly released work it has supported and may reference non-confidential campaign results for portfolio, case-study, or business-development purposes.

BLOOM will not intentionally disclose confidential unreleased music or confidential business information without authorization.

Clients who require specific confidentiality restrictions should arrange them with BLOOM in writing before providing confidential material.

17. CONFIDENTIALITY

Each party may receive confidential or proprietary information from the other during an engagement.

The receiving party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the engagement.

Confidential information does not include information that:

  • Is publicly available through no breach of these Terms;
  • Was already lawfully known to the receiving party;
  • Is independently developed without use of confidential information; or
  • Is lawfully obtained from another source without a confidentiality obligation.

18. PROHIBITED USE

Clients may not use BLOOM's services to:

  • Promote content they do not have the legal right to promote;
  • Infringe copyright, trademark, publicity, privacy, or other rights;
  • Commit fraud or deception;
  • Artificially manipulate streaming or engagement metrics;
  • Violate applicable laws;
  • Circumvent third-party platform policies; or
  • Engage in activity that could reasonably expose BLOOM to legal or regulatory liability.

BLOOM may suspend or terminate services where it reasonably believes these Terms have been violated.

19. TERMINATION

Either party may terminate an ongoing engagement in accordance with any applicable proposal, agreement, or written campaign terms.

BLOOM may immediately suspend or terminate services for material breach of these Terms, nonpayment, fraud, unlawful conduct, platform manipulation, abusive conduct toward BLOOM personnel or partners, or activity creating material legal or operational risk.

Termination does not eliminate payment obligations for services already performed or expenses already incurred.

20. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOM'S WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BLOOM DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLOOM CREATIVE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOM'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR CLIENT ENGAGEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BLOOM BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by law.

22. INDEMNIFICATION

To the extent permitted by law, the Client agrees to indemnify and hold harmless BLOOM Creative LLC and its members, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

  • Materials supplied by the Client;
  • The Client's infringement of third-party rights;
  • The Client's violation of applicable law;
  • Fraudulent or unauthorized activity by the Client; or
  • The Client's material breach of these Terms.

23. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to the dispute-resolution provisions below, any proceeding permitted to be brought in court shall be brought in a court of competent jurisdiction in Los Angeles County, California, unless applicable law requires otherwise.

24. DISPUTE RESOLUTION

Before initiating formal proceedings, the parties agree to make a good-faith effort to resolve disputes informally.

A party seeking to raise a dispute should provide written notice describing the dispute and requested resolution. Notices to BLOOM may be sent to tim@bloommusic.io.

The parties will have at least 30 days following receipt of the notice to attempt to resolve the dispute informally.

If the dispute cannot be resolved, the parties may pursue remedies available under applicable law and any separate written agreement governing the applicable service.

25. PRIVACY

Use of our website and services is also subject to BLOOM's Privacy Policy.

26. ELECTRONIC COMMUNICATIONS

By communicating with BLOOM electronically, you consent to receive agreements, notices, invoices, campaign communications, and other information electronically where permitted by law.

Marketing communications remain subject to applicable consent and opt-out requirements.

27. CHANGES TO THESE TERMS

BLOOM may update these Terms periodically.

Changes will become effective when the updated Terms are posted, unless otherwise stated or required by law.

Changes will not retroactively alter material rights or obligations relating to previously purchased services where doing so would be prohibited by applicable law.

28. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

29. ENTIRE AGREEMENT

These Terms, together with the applicable invoice, proposal, scope of work, Privacy Policy, and any additional written agreement between BLOOM and the Client, constitute the agreement governing the applicable services.

If a separately signed agreement expressly conflicts with these Terms, the separately signed agreement will control with respect to that conflict.
